Legal Terms

These terms
These terms apply to the use of this website and to enquiries, quotations and orders placed through it. Using the site or sending an enquiry means you accept them; if you do not accept them, please do not use the site. The site is published by Maven New Material (Hebei) Co., Ltd. (“Maven”), a manufacturer of lubricant additives, base oils and heat transfer oils based in Handan, Hebei, China, serving business customers (importers, traders, blenders and industrial users) and not private consumers.
Site content and intellectual property
Text, product descriptions, tables, layout, graphics, photographs and marks on this site belong to Maven or are used with permission. You may browse, download and print pages for internal business evaluation, and quote short passages with attribution and a link; any other use — copying pages or images into your own materials, reselling them, or using our name or marks in a way that suggests partnership or endorsement — requires written permission.
Product information on this site
This site describes our product lines — lubricant additives (single components and packages), base oils and heat transfer oils — in general terms. Base oil grades are confirmed against the plant after an enquiry; we do not publish a grade list because availability follows the plant. Typical values, diagrams and application notes are indicative only; a shipment is supplied to the specification confirmed in writing for that order and to the technical data sheet issued with it — the TDS sent with the order is the controlled document, not this website. Formulation remains the customer’s responsibility: treat rates, compatibility with a particular base oil and the performance of the finished lubricant must be verified in your own formulation and equipment before commercial use.
Quotations and prices
Prices are always confirmed with the plant before quoting, so a figure is given only once the grade or specification, quantity and destination port are known. A quotation is an invitation to order, not a binding offer, and is valid for the period stated on it (14 days if none is stated). It is based on the quantity, packaging, specification and delivery terms at the time; before an order is confirmed the price may be adjusted if raw materials, energy, freight, insurance, duties or exchange rates move materially, or if you change the specification.
Orders and acceptance
An order takes effect only when we confirm it in writing (order confirmation or proforma invoice). Terms in your purchase order that differ from these terms or from our confirmation do not apply unless we accept them in writing. We supply only customers who can import lawfully: you confirm that you hold the import licences and registrations required in your country and that you handle import clearance yourself.
Payment
Payment terms are set out in the order confirmation and are usually T/T and a letter of credit at sight. Banking charges outside China are for the buyer’s account unless the confirmation states otherwise. Title to the goods remains with us until they are paid for in full; risk passes in accordance with the agreed Incoterm.
Delivery and Incoterms
Shipment is made FOB or CIF at the port agreed in the confirmation. Delivery times are estimates given in good faith and depend on production, booking space and sailing schedules; partial shipments and transhipment are permitted. Risk and costs are divided according to the agreed Incoterm.
Shipping documents
Each shipment is accompanied by the documents required by the agreed terms, normally the invoice, packing list, bill of lading and a certificate of analysis for the batch. The SDS and TDS are available on request; certificates of origin or other certificates required by your customs are arranged for that order. Please tell us at quotation stage which documents your import procedure requires.
Inspection and claims
Please inspect the goods on arrival and check seals, labels, batch numbers and transport documents. Any claim must be notified to us in writing within the limitation period set by law after delivery, with photographs and batch numbers; damage or shortage in transit must also be noted with the carrier at the time of delivery. Where goods do not meet the agreed specification and the claim is made in time, we will, after confirming it through a retained sample or an independent laboratory report, replace the goods or refund the value of the goods, at our option.
Your compliance obligations
You are responsible for obtaining the import licence and any registrations, labelling, safety and environmental approvals required in your country; for complying with the export-control, sanctions and anti-dumping rules applicable to the goods; and for ensuring that any resale or re-export is lawful. If supply would be unlawful we may refuse or cancel the order.
Confidentiality
Each party keeps the other’s non-public information confidential and uses it only for the purpose of the enquiry, quotation or order: formulations, treat rates, specifications, prices, customer and supplier identities, shipment data. Information that is public, was known beforehand, or must be disclosed to customs, a bank or a court is excluded.
Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural events, fire, war, sanctions, epidemics, transport or port disruption, acts of government, and interruption of power, water or raw-material supply. While the event continues, either party may cancel the affected part without liability.
Limitation of liability
Information on this site is provided in good faith without any warranty; to the extent the law allows, we exclude liability for indirect or consequential loss, loss of profit, loss of production and loss arising from reliance on information on this site. For goods we supply, liability is limited to the invoice value of those goods; liability that cannot be limited by law is not affected by this clause.
General
These terms together with the order confirmation are the entire agreement between the parties on this subject and replace earlier discussions. If one clause is unenforceable the others remain in force; delay in exercising a right is not a waiver of it. These terms are published in English. They are governed by the laws of the People’s Republic of China and disputes are resolved by the people’s court with jurisdiction at the company’s domicile. Content on this site is not an offer capable of acceptance; a contract of sale arises only from our written order confirmation.
